BIZCONEKT USER TERMS OF SERVICE

1. INTRODUCTION

Welcome to Bizconekt! These User Terms of Service ("Terms") govern your access to and use of the Bizconekt website, mobile applications, and related services (collectively, the "Platform") provided by Bizconekt ("we," "our," or "us").

These Terms apply to Consumers—individuals who use the Platform to discover, review, and interact with local businesses. If you are using the Platform as a Business, please refer to our Business Terms and Conditions.

Please read these Terms carefully before using our Platform. By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy.

2. ELIGIBILITY AND ACCOUNT CREATION

2.1 Eligibility

To use the Platform, you must:

• Be at least 18 years of age
• Be able to form a legally binding contract
• Not be prohibited from using the Platform under applicable laws
• Not have previously been suspended or removed from the Platform

2.2 Account Registration

You may browse certain portions of the Platform without creating an account. However, to access all features, you may need to create an account by:

• Providing accurate, current, and complete information
• Creating a unique password
• Maintaining the security and confidentiality of your account

2.3 Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Updating your account information to keep it accurate and current
• Logging out of your account at the end of each session
• Notifying us immediately of any unauthorized use of your account

2.4 Social Media Integration

You may choose to create an account or log in using your social media credentials if a platform integration is established. If you do so, you authorize us to access certain information from your social media account as explained during the connection process and in our Privacy Policy.

3. PLATFORM RULES AND CONDUCT

3.1 Acceptable Use

When using our Platform, you agree to:

• Comply with all applicable laws and regulations
• Respect the rights of others, including privacy and intellectual property rights
• Provide accurate and truthful information
• Use the Platform for its intended purpose of finding, reviewing, and interacting with local businesses

3.2 Prohibited Activities

You may NOT:

• Use the Platform for any illegal purpose
• Post content that is false, misleading, defamatory, obscene, pornographic, harassing, threatening, or discriminatory
• Impersonate any person or entity
• Post content that infringes on intellectual property rights
• Manipulate or falsify reviews or ratings
• Interfere with the operation of the Platform, including using any robot, spider, scraper, or other automated means
• Attempt to gain unauthorized access to any portion of the Platform
• Use the Platform to collect or harvest personal information about other users
• Post or transmit malicious code or viruses
• Engage in commercial activities without our prior written consent
• Use the Platform in any way that could disable, overburden, or impair its functioning

3.3 Special Rules for Reviews and Ratings

When posting reviews or ratings:

• Reviews must be based on actual first-hand experiences
• Reviews must be factually accurate to the best of your knowledge
• You may not post reviews in exchange for payment or other incentives
• You may not post reviews intended to artificially improve or damage a business's reputation
• You may not post multiple reviews of the same business to impact their rating
• Reviews should not contain personal attacks on business owners or staff

4. CONTENT

4.1 User Content

"User Content" includes reviews, ratings, photos, videos, comments, messages, and other materials you post, upload, or otherwise provide to the Platform.

4.2 Content License

By submitting User Content, you grant Bizconekt a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content for the purposes of:

• Operating and improving the Platform
• Displaying the content to other users
• Promoting the Platform (with appropriate attribution)
• Analyzing Platform usage

This license continues even if you stop using our Platform, but only with respect to User Content already submitted.

4.3 Content Representations

You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not and will not violate any third party's intellectual property, privacy, publicity, or other rights
• Your User Content complies with these Terms and all applicable laws
• Your User Content is not fraudulent, deceptive, or misleading
• Your User Content is not defamatory, obscene, or otherwise objectionable

4.4 Content Monitoring and Removal

We reserve the right, but not the obligation, to:

• Monitor or review User Content
• Edit or remove any User Content that violates these Terms or that we find objectionable
• Disclose User Content and the circumstances surrounding its transmission to any third party to:
• Protect the rights and property of Bizconekt and others
• Comply with legal obligations or governmental requests
• Enforce these Terms
• Respond to claims that User Content violates third-party rights
• Protect the safety of the public or any person

5. INTERACTIONS WITH BUSINESSES

5.1 Business Communications

When you:

• Submit a review or rating
• Request a quote or appointment
• Send a message to a business
• Save or follow a business

You understand that:

• The business may receive your name, profile information, and contact details
• The business may contact you regarding your interaction
• Public content (like reviews) will be visible to all Platform users
• We are not responsible for how businesses use information you provide to them beyond our Platform

5.2 Business Transactions

Bizconekt facilitates connections between Consumers and Businesses but is not a party to any transactions or interactions between them. We do not:

• Guarantee the quality of any business's products or services
• Verify the accuracy of all business information
• Endorse any business listed on our Platform
• Act as an agent for either the business or consumer

You are solely responsible for:

• Evaluating businesses before engaging with them
• Any agreements you make with businesses
• Any transactions, interactions, or disputes with businesses

6. INTELLECTUAL PROPERTY

6.1 Bizconekt Property

The Platform and its contents, features, and functionality (including but not limited to text, graphics, logos, button icons, images, audio clips, data compilations, and software) are owned by Bizconekt, its licensors, or other providers and are protected by copyright, trademark, patent, and other intellectual property laws.

6.2 Limited License to Use Platform

Bizconekt grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes, subject to these Terms.

6.3 Restrictions

You may not:

• Copy, modify, or create derivative works based on the Platform
• Reproduce, distribute, publicly display, or publicly perform any Bizconekt content
• Remove any copyright, trademark, or other proprietary notices
• Use the Bizconekt name, logo, or trademarks without our prior written consent
• Decompile, reverse engineer, or attempt to extract the source code of our software
• Use any data mining, robots, or similar data gathering methods

6.4 Feedback

If you provide suggestions, ideas, or feedback about the Platform ("Feedback"), you grant us an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to use the Feedback in any manner and for any purpose without compensation to you.

7. PRIVACY

Your privacy is important to us. Please review our Privacy Policy, which describes our practices regarding the collection, use, and disclosure of your personal information.

8. THIRD-PARTY LINKS AND CONTENT

8.1 Third-Party Links

The Platform may contain links to third-party websites or services that are not owned or controlled by Bizconekt. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

8.2 Third-Party Content

Businesses may provide content about their products, services, prices, special offers, or events. We do not guarantee the accuracy, completeness, or reliability of this content. You should verify important information directly with the business before making purchasing decisions.

9. DISCLAIMERS AND LIMITATIONS OF LIABILITY

9.1 Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. BIZCONEKT EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

BIZCONEKT DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED.

BIZCONEKT MAKES NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS, OR RELIABILITY OF THE PLATFORM OR ANY CONTENT THEREON, INCLUDING BUSINESS LISTINGS, REVIEWS, OR PROMOTIONAL OFFERS.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BIZCONEKT, ITS DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM.

BIZCONEKT'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE PLATFORM SHALL NOT EXCEED THE GREATER OF:

• THE AMOUNT PAID BY YOU TO BIZCONEKT IN THE 12 MONTHS PRECEDING THE CLAIM; OR
• $100.00 USD

9.3 Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Therefore, some of the above limitations may not apply to you.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Bizconekt, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your violation of these Terms
• Your User Content
• Your use of the Platform
• Your violation of any rights of another person or entity
• Your conduct in connection with the Platform

11. TERMINATION

11.1 Termination by You

You may terminate your account at any time by:

• Using the account deletion option in your account settings
• Contacting us with a termination request

11.2 Termination by Bizconekt

Bizconekt may, in its sole discretion, suspend or terminate your account and access to the Platform at any time for any reason, including if:

• You violate these Terms
• You create risk or possible legal exposure for Bizconekt
• Your account has been inactive for an extended period
• We are unable to verify or authenticate your account information
• We believe your account has been compromised

11.3 Effect of Termination

Upon termination of your account:

• Your access to the Platform will be disabled
• Your public content (such as reviews) may remain visible unless you request its removal
• Sections of these Terms that by their nature should survive termination shall remain in effect

12. DISPUTE RESOLUTION

12.1 Governing Law

These Terms and any disputes relating to these Terms or the Platform shall be governed by the laws of the State of North Dakota, without regard to its conflict of law provisions.

12.2 Informal Resolution

Before filing a claim against Bizconekt, you agree to try to resolve the dispute informally by contacting us. We will attempt to resolve disputes informally within 30 days.

12.3 Arbitration

If informal resolution is unsuccessful, any controversy or claim arising out of or relating to these Terms shall be settled by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.

12.4 Class Action Waiver

YOU AND BIZCONEKT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

12.5 Small Claims Court

Notwithstanding the foregoing, either party may bring an individual action in small claims court.

12.6 Exceptions

Nothing in this section precludes either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

13. GENERAL PROVISIONS

13.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional terms to which you agree when using specific features, constitute the entire agreement between you and Bizconekt regarding your use of the Platform.

13.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the Terms shall otherwise remain in full force and effect and enforceable.

13.3 No Waiver

Bizconekt's failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Bizconekt.

13.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without Bizconekt's prior written consent. Bizconekt may assign or transfer these Terms, at its sole discretion, without restriction.

13.5 Notices

We may provide notices to you via email, regular mail, or postings on the Platform. All notices from you to us must be sent to:

13.6 Force Majeure

Bizconekt shall not be liable for any failure to perform its obligations where such failure results from any cause beyond Bizconekt's reasonable control, including but not limited to, acts of God, natural disasters, pandemic, epidemic, war, civil unrest, terrorism, labor disputes, or governmental actions.
