BIZCONEKT BUSINESS TERMS AND CONDITIONS

This document constitutes a legally binding agreement between Bizconekt ("we," "us," "our," or "Bizconekt") and the business entity or individual ("Business User," "you," or "your") who uses or accesses our platform. These Terms and Conditions govern your access to and use of the Bizconekt platform, website, mobile applications, and related services (collectively, the "Services").

1. DEFINITIONS

1.1 "Account" means a registered business account on the Bizconekt platform.

1.2 "Content" means any text, images, videos, logos, information, data, or other materials that you upload, post, or provide to Bizconekt.

1.3 "Consumer" means any individual who accesses or uses the Bizconekt platform to find, review, or interact with listed businesses.

1.4 "Listing" means the business profile created on the Bizconekt platform containing your business information.

1.5 "Premium Services" means paid features, functionality, or promotional tools beyond the basic listing.

1.6 "Reviews" means consumer-generated ratings, comments, and feedback about your business.

2. ACCEPTANCE OF TERMS

2.1 Binding Agreement

By accessing or using Bizconekt in any way, including creating an account, posting a business listing, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, our Privacy Policy, and any additional guidelines or policies referenced herein.

2.2 Authority to Agree

If you are using the Services on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms and Conditions.

2.3 Amendments

Bizconekt reserves the right to modify these Terms and Conditions at any time. We will notify you of material changes by posting the updated terms on our website and, where appropriate, by email. Your continued use of the Services after such notifications constitutes acceptance of the modified terms.

3. ACCOUNT REGISTRATION AND MANAGEMENT

3.1 Eligibility

To use Bizconekt's Services, you must:

  • Be a legitimate business entity or an individual operating a business
  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using the Services under applicable laws
  • Not have had your account previously removed from our platform for violations of these Terms

3.2 Registration Process

To register an account, you must:

  • Provide accurate, current, and complete information as prompted by the registration form
  • Maintain and promptly update your account information to keep it accurate and complete
  • Choose a secure password and maintain its confidentiality
  • Accept responsibility for all activities occurring under your account

3.3 Account Types

Bizconekt offers the following account types:

  • Basic Listing: Available at no cost, with limited features as specified on our website
  • Premium Plans: Paid subscriptions with enhanced features, promotional tools, and analytics

3.4 Account Verification

Bizconekt may employ various methods to verify your business, including but not limited to:

  • Email verification
  • Phone verification
  • Business document review
  • Physical location verification
  • Third-party verification services

You agree to cooperate with reasonable verification requests to maintain platform integrity and trust.

3.5 Account Security

You are solely responsible for:

  • Maintaining the confidentiality of your account credentials
  • Restricting access to your account and devices
  • Notifying Bizconekt immediately of any unauthorized access to your account
  • Ensuring all users who access your account comply with these Terms

4. LISTINGS AND CONTENT

4.1 Listing Creation and Maintenance

You may create and maintain a business listing on Bizconekt, which includes:

  • Business name, address, and contact information
  • Business hours and service area
  • Product and service descriptions
  • Images, videos, and promotional content
  • Special offers, events, and announcements

4.2 Content Requirements

All Content you submit to Bizconekt must:

  • Be accurate, truthful, and not misleading
  • Be relevant to your business offerings
  • Comply with all applicable laws and regulations
  • Not infringe upon third-party rights
  • Not contain malicious code, viruses, or other harmful components
  • Not attempt to manipulate platform algorithms
  • Not contain prohibited material as outlined in Section 4.3

4.3 Prohibited Content

You may not post Content that:

  • Is illegal, fraudulent, or deceptive
  • Is obscene, pornographic, or sexually explicit
  • Is defamatory, threatening, harassing, or abusive
  • Promotes discrimination, bigotry, racism, or hatred
  • Promotes illegal or harmful activities
  • Contains third-party personal information without authorization
  • Violates intellectual property rights
  • Contains false promotions or misleading claims
  • Includes pricing that does not reflect actual costs to consumers

4.4 Content Ownership and License

You retain all ownership rights to the Content you submit to Bizconekt. However, by submitting Content, you grant Bizconekt and its affiliates a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such Content for the purposes of:

  • Operating and improving the Services
  • Promoting your business on the platform
  • Marketing Bizconekt services (with appropriate attribution)
  • Analyzing platform usage and performance

This license continues even if you stop using our Services, solely with respect to Content already submitted.

4.5 Content Monitoring and Removal

Bizconekt reserves the right, but not the obligation, to:

  • Monitor Content for compliance with these Terms
  • Remove or refuse to post any Content that violates these Terms
  • Take appropriate legal action for violations
  • Cooperate with law enforcement authorities

We will provide notice when possible before removing Content, unless we reasonably believe the Content violates applicable laws or could harm other users, third parties, or Bizconekt.

5. REVIEWS AND RATINGS

5.1 Review System

Bizconekt maintains a transparent review system where:

  • All verified reviews are displayed without filtering based on advertising status
  • Reviews are ordered by relevance, recency, or other objective criteria
  • No legitimate reviews are hidden or suppressed for commercial reasons

5.2 Consumer Reviews

Consumers may submit ratings and reviews of your business. These reviews:

  • Must reflect genuine customer experiences
  • Must comply with Bizconekt's Review Guidelines
  • May be verified through various methods
  • Will remain visible unless they violate our Review Guidelines

5.3 Business Response Rights

You have the right to:

  • Respond to reviews about your business
  • Flag reviews that violate our Review Guidelines
  • Request removal of reviews that are demonstrably false or violate platform policies

5.4 Review Integrity

To maintain review integrity, you agree NOT to:

  • Write or solicit fake reviews for your business or others
  • Offer incentives for positive reviews or removal of negative reviews
  • Threaten or harass customers for leaving negative reviews
  • Use automated systems to generate or manipulate reviews
  • Attempt to artificially inflate your rating through improper means

Violations of review integrity may result in penalties including removal of fraudulent reviews, listing demotion, or account termination.

5.5 Dispute Resolution for Reviews

If you believe a review violates our policies, you may:

  • Flag the review through your business dashboard
  • Provide evidence supporting your claim
  • Wait for Bizconekt's determination regarding the review

Bizconekt will investigate review disputes and make a final determination based on our Review Guidelines and applicable laws.

6. SERVICES AND FEATURES

6.1 Free Basic Listing

The Basic Listing includes:

  • Standard business information display
  • Ability to claim and verify your business
  • Limited access to consumer messages and reviews
  • Basic analytics on profile views

Basic Listings are provided at no cost and do not require payment information.

6.2 Premium Services

Premium Services may include:

  • Enhanced profile visibility and featured placement
  • Promotional tools for events and special offers
  • Advanced analytics and reporting
  • Appointment and quote request tools
  • Additional media storage
  • Enhanced customer communication tools
  • Self-serve ad campaign management

6.3 Events and Offers

You may publish events and special offers on Bizconekt, subject to the following conditions:

  • All promotions must accurately represent your products or services
  • Pricing, discounts, and terms must be clearly stated
  • Limited-time offers must clearly indicate start and end dates
  • Event details must be accurate and updated if changed
  • All promotions must comply with applicable laws regarding advertising, marketing, sweepstakes, and consumer protection

6.4 Appointment and Quote Requests

Bizconekt provides tools that allow consumers to request appointments or quotes. You agree to:

  • Respond to such requests in a timely manner
  • Honor appointments made through the platform
  • Provide accurate quotes based on the information provided
  • Notify customers promptly if you cannot fulfill their request

6.5 Feature Availability and Modifications

Bizconekt reserves the right to:

  • Add, modify, or discontinue features and Services at any time
  • Limit feature availability based on geographic location or account type
  • Change feature specifications or functionality

We will provide reasonable notice of material changes to the Services when practical.

7. PAYMENT TERMS

7.1 Pricing Structure

Pricing for Premium Services is clearly published on our website. Unlike some competitors:

  • We do not employ hidden fees or surprise charges
  • We do not automatically enroll you in additional services
  • We do not modify pricing without notice

7.2 Billing Cycle

For paid services:

  • Fees are billed in advance on a subscription basis (monthly, quarterly, or annually)
  • The billing period begins on the date you upgrade to a Premium Service
  • Subscriptions automatically renew unless canceled prior to the renewal date
  • You will receive renewal notifications before automatic charges

7.3 Payment Methods

We accept payment through:

  • Major credit and debit cards
  • ACH bank transfers
  • Other payment methods as specified on our payment page

You authorize Bizconekt to charge your chosen payment method for all fees incurred.

7.4 Failed Payments

If payment fails:

  • We will attempt to process the payment again within 5 business days
  • We may temporarily suspend Premium Services until payment is successfully processed
  • We will notify you of payment failures and steps to resolve the issue

7.5 Taxes

Prices displayed do not include sales tax, VAT, or other applicable taxes where required by law. Such taxes will be added to your invoice where appropriate based on your location and local regulations.

7.6 Currency

All payments are processed in US Dollars unless otherwise specified.

7.7 Refund Policy

Our refund policy includes:

  • 14-day satisfaction guarantee for new Premium subscriptions
  • Pro-rated refunds for technical issues preventing service delivery
  • No refunds for partially used subscription periods upon cancellation
  • Case-by-case evaluation for other refund requests

To request a refund, contact our customer support team with your account information and reason for the request.

7.8 Billing Disputes

If you believe you have been incorrectly billed, you must notify us within 60 days of the charge. We will investigate and resolve legitimate billing errors promptly.

8. CANCELLATION AND TERMINATION

8.1 Cancellation by Business Users

You may cancel your Premium Services at any time by:

  • Using the cancellation function in your account dashboard
  • Contacting customer support
  • Sending a written cancellation request to our designated email

Upon cancellation:

  • Your Premium Services will continue until the end of the current billing period
  • You will not be charged for subsequent billing periods
  • Your account will revert to a Basic Listing unless you request complete account termination
  • No cancellation fees will apply

8.2 Downgrading Services

You may downgrade from a Premium plan to a Basic Listing at any time. Downgrading will:

  • Take effect at the end of your current billing period
  • Result in the loss of Premium features
  • Preserve your basic business information and reviews

8.3 Account Termination by Business Users

You may request complete termination of your Bizconekt account by contacting customer support. Upon account termination:

  • Your business listing will be removed from the platform
  • Your Content will no longer be visible to consumers
  • Your account data will be handled according to our Privacy Policy

8.4 Termination or Suspension by Bizconekt

Bizconekt reserves the right to suspend or terminate your account if you:

  • Violate these Terms and Conditions
  • Provide false or misleading information
  • Engage in fraudulent or illegal activities
  • Use the Services in a manner that harms Bizconekt, other businesses, or consumers
  • Fail to pay applicable fees after repeated attempts to collect
  • Remain inactive for an extended period

8.5 Effect of Termination

Upon termination:

  • Access to your account and Premium features will cease
  • Your business listing will be removed from search results
  • Bizconekt will retain your data as required by law or as outlined in our Privacy Policy
  • Sections of these Terms that by their nature should survive termination shall remain in effect

8.6 Reinstatement

Terminated accounts may be eligible for reinstatement at Bizconekt's discretion. Reinstatement may require:

  • Payment of outstanding balances
  • Confirmation of compliance with these Terms
  • Verification of business information
  • Additional review by our compliance team

9. DATA PRIVACY AND PROTECTION

9.1 Privacy Policy

Our collection and use of information is governed by our Privacy Policy, incorporated herein by reference, which explains how we collect, use, and protect information.

9.2 Business Information

Information provided for your business listing (name, address, phone number, business hours, etc.) is considered public and will be visible to all platform users.

9.3 Customer Data

Unlike some competitors, we respect user privacy and:

  • Never sell or repackage personal data
  • Only share lead information with the specific business the consumer contacted, or other verified businesses within the platform, when using a mass quote request
  • Implement appropriate technical and organizational measures to protect personal data

9.4 Consumer Communications

When consumers contact you through Bizconekt:

  • You may receive their contact information for business purposes only
  • You agree to use this information solely to respond to their specific inquiry
  • You must comply with all applicable privacy and data protection laws
  • You must not add them to marketing lists without explicit consent

9.5 Data Security

We implement reasonable security measures to protect business and customer data. You are responsible for:

  • Maintaining the security of your account credentials
  • Ensuring the security of any data you download from the platform
  • Implementing appropriate safeguards for customer information
  • Notifying us promptly of any security breaches related to your account

9.6 Data Retention

We retain your data as outlined in our Privacy Policy and applicable laws. Upon account termination, we will:

  • Remove your public-facing business information
  • Retain records as required for legal and operational purposes
  • Handle any personal data in accordance with applicable privacy laws

10. INTELLECTUAL PROPERTY

10.1 Bizconekt Intellectual Property

The following elements are protected by intellectual property rights owned by or licensed to Bizconekt:

  • The Bizconekt platform, including its design, features, and functionality
  • Bizconekt trademarks, logos, and brand elements
  • Content created by Bizconekt
  • The selection, arrangement, and presentation of all platform elements

10.2 Restrictions on Use

You may not, without our express written permission:

  • Copy, modify, or create derivative works of our platform or its content
  • Reproduce, distribute, publicly display, or publicly perform our content
  • Remove any copyright, trademark, or other proprietary notices
  • Use our trademarks or logos in a manner that suggests affiliation with or endorsement by Bizconekt
  • Reverse engineer, decompile, or attempt to extract the source code of our software
  • Use robots, scrapers, or similar data extraction tools on our platform

10.3 Limited License to Use Platform

Bizconekt grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform for its intended purpose of promoting your business, subject to these Terms.

10.4 Feedback

If you provide feedback, ideas, or suggestions regarding our Services ("Feedback"), you grant Bizconekt an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to use the Feedback in any manner and for any purpose without compensation to you.

10.5 Third-Party Intellectual Property

You agree not to upload Content that infringes upon third-party intellectual property rights. If we receive a claim that your Content violates someone else's intellectual property rights, we may:

  • Remove or disable access to the disputed Content
  • Notify you of the claim
  • Provide you an opportunity to respond
  • Terminate accounts of repeat infringers

11. REPRESENTATIONS AND WARRANTIES

11.1 Business User Representations

You represent and warrant that:

  • You are a legitimate business entity or an individual conducting business
  • You have all necessary rights, power, and authority to enter into this agreement
  • Your use of the Services will comply with all applicable laws and regulations
  • The Content you provide is accurate, truthful, and not misleading
  • You possess all necessary licenses, permits, and authorizations to conduct your business
  • You will fulfill the products, services, offers, and appointments you promote on Bizconekt
  • You have not been previously banned from using our Services

11.2 Bizconekt Representations

Bizconekt represents and warrants that:

  • We will provide the Services with reasonable skill and care
  • We will maintain reasonable security measures to protect your data
  • We will not filter reviews based on whether a business advertises with us
  • We will not engage in deceptive billing practices
  • We will comply with applicable laws in the operation of our platform

11.3 Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. BIZCONEKT EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BIZCONEKT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

12. LIMITATION OF LIABILITY

12.1 Service Availability

While we strive for continuous availability, we do not guarantee uninterrupted access to our Services. We are not liable for any losses resulting from:

  • Temporary service interruptions
  • Platform maintenance or updates
  • Technical failures beyond our reasonable control
  • Third-party service interruptions affecting our platform

12.2 Business Interactions

Bizconekt serves as a platform connecting businesses and consumers. We are not responsible for:

  • The quality of business services or products
  • Customer interactions or disputes
  • Fulfillment of offers or appointments
  • Accuracy of consumer reviews (though we take reasonable steps to ensure review integrity)
  • Communications between businesses and consumers outside our platform

12.3 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BIZCONEKT, ITS DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES.

12.4 Monetary Limitations

BIZCONEKT'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE SERVICES SHALL NOT EXCEED THE GREATER OF:

  • THE AMOUNT PAID BY YOU TO BIZCONEKT IN THE 12 MONTHS PRECEDING THE CLAIM; OR
  • $100.00 USD

12.5 Exceptions

The limitations of liability in this section do not apply to:

  • Liabilities that cannot be excluded or limited under applicable law
  • Bizconekt's willful misconduct, fraud, or gross negligence
  • Violations of intellectual property rights

13. INDEMNIFICATION

13.1 Business User Indemnification

You agree to indemnify, defend, and hold harmless Bizconekt, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your violation of these Terms
  • Your Content
  • Your use of the Services
  • Your violation of any rights of another person or entity
  • Your conduct in connection with the platform
  • Any misrepresentation made by you

13.2 Defense Control

Bizconekt reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims.

14. DISPUTE RESOLUTION

14.1 Informal Resolution

Before filing a claim against Bizconekt, you agree to attempt to resolve the dispute informally by contacting our customer support. We will attempt to resolve disputes informally within 30 days.

14.2 Mediation

If informal resolution is unsuccessful, the parties agree to first attempt to resolve any dispute through non-binding mediation conducted in Bismarck, North Dakota, administered by a mutually agreed-upon mediator.

14.3 Arbitration

If mediation is unsuccessful, any controversy or claim arising out of or relating to these Terms shall be settled by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.

14.4 Class Action Waiver

YOU AND BIZCONEKT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14.5 Small Claims Option

Notwithstanding the foregoing, either party may bring an individual action in small claims court.

14.6 Exceptions

Nothing in this section precludes either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights or confidentiality obligations.

15. GENERAL PROVISIONS

15.1 Governing Law

These Terms and all matters arising out of or relating to these Terms shall be governed by the laws of the State of North Dakota, without regard to its conflict of law provisions.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the Terms shall otherwise remain in full force and effect and enforceable.

15.3 No Waiver

Bizconekt's failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Bizconekt.

15.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without Bizconekt's prior written consent. Any attempt to assign or transfer these Terms without such consent will be null and void. Bizconekt may assign or transfer these Terms, at its sole discretion, without restriction.

15.5 Force Majeure

Bizconekt shall not be liable for any failure to perform its obligations where such failure results from any cause beyond Bizconekt's reasonable control, including but not limited to, acts of God, labor disputes, governmental actions, war or civil unrest, epidemics, pandemics, natural disasters, power failures, or internet service provider failures.

15.6 Relationship of Parties

Nothing in these Terms shall be construed as creating a partnership, joint venture, agency, or employment relationship between you and Bizconekt. Neither party has the authority to bind the other in any manner.

15.7 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by Bizconekt, constitute the entire agreement between you and Bizconekt regarding the Services, superseding any prior agreements between you and Bizconekt relating to the Services.

15.8 Notices

Any notices or other communications provided by Bizconekt, including those regarding modifications to these Terms, will be given:

  • Via email to the address associated with your account
  • Via posting on the Bizconekt website
  • Via in-app notification

For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.

16. ADDITIONAL TERMS FOR SPECIFIC FEATURES

16.1 Mobile Applications

If you download and use our mobile applications, additional terms may apply, including terms governing the collection of location data and push notifications.

16.2 API Usage

If you access our APIs, you must comply with any additional API Terms of Service.

16.3 Beta Features

From time to time, Bizconekt may offer beta features that are still in development. These features may be subject to additional terms and may contain bugs or errors.

BY CREATING AN ACCOUNT OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.
